Registrable TransactionPursuant to a Trade Mark Security Agreement dated 19 September 2006 (the "Security Agreement"), MEI, Inc., 1301 Wilson Drive, West Chester, Pennsylvania 19380 USA, a Delaware Corporation (the "Grantor") granted to Citibank, N.A., Tokyo Branch, Akasaka Park Building 5-2-20, Akasaka, Minato-ku, Tokyo 107-6105, Japan, a United States national association (the "Assignor") a continuing security interest in all of the Grantor's right, title and interest in and to the following, whether now owned or existing or hereafter acquired or arising: (i) each trade mark owned by the Grantor, including, without limitation, each trade mark registration and application therefore, referred to in Schedule 1 to the Security Agreement, and all of the goodwill of the business connected with the use of or symbolized by, each trade mark; (ii) all rights in the foregoing provided by international treaties or conventions, all rights corresponding thereto throughout the world an all other rights of any kind whatsoever of Grantor accruing thereunder or pertaining thereto; and (iii) any and all proceeds of, collateral for, income, royalties, and other payments now or hereafter due and payable with respect to, and Supporting Obligations relating to, any and all of the foregoing, including, without limitation, all proceeds of and revenues from any and all claims for damages and injunctive relief for past, present and future infringement, dilution, misappropriation, violation, misuse or breach with respect to any of the foregoing, with the right, but not the obligation, to sue for and collect, or otherwise recover, all proceeds and damages relating thereto. Supporting Obligations means, in accordance with Section 9-102 of New York's Uniform Commercial Code, "a letter of credit right or secondary obligation that supports the payment or performance of an account, chattel paper, a document, a general intangible, an instrument, or investment property" (together with (i) and (ii) the "Security Interests"). Pursuant to a business transfer agreement (the "Transfer Agreement") dated 1 July 2007 between the Assignor and Citibank Japan Ltd. of Citibank Japan Ltd., Akasaka Park Building 5F, 2-20 Akasaka 5-chome, Minato-ku, Tokyo 107-6105, Japan (the "Assignee"), the Assignor has agreed to transfer to the Assignee all charges and security interests grated to the Assignor by the Grantor as referred to above. The trade marks subject to such transfer of rights in rem are set out in Schedule 1 to this Recordal Application.
